  Regular Meeting Minutes

December 4, 2024

CALL TO ORDER:

Chairman Mike Parker called the meeting to order at 7:00 p.m. A moment of silence was observed for Phil David's passing.

PLEDGE OF ALLEGIANCE:

Chairman Mike Parker led the Pledge of Allegiance.

ROLL CALL:

Trustees Parker, Leber, Miller, Fiscal Officer Pelletier, and Road Superintendent Andy Dunlap are present.

MINUTES:

The fiscal officer sent out minutes electronically before the meeting for approval.

Motion

Mr. Leberr moved to approve the minutes, and Mr. Miller seconded the motion. A verbal vote was taken, and the motion passed unanimously.

GUESTS:

No guests were present.

ZONING INSPECTOR:

The trustees received a junk complaint call on Patten Tract Road.

Zoning inspector Dunlap issued two citations for junk; both were issued to residents on Patten Tract Road.

Prosecutor Charles Bennett is in contact with the zoning inspector as to what steps will be taken next. Mr. Bennett will outline every step that needs to be taken in a process like this.

A building permit was issued for the golf course on Mason Road.

ROAD SUPERINTENDENT:

Mr. Dunlap announced the new F550 has arrived. Mr. Dunlap is working on the new truck to transfer the utility and dump box from the 2020 F550 to the new chassis.

TRUSTEES

Trustee Parker:

Madelyn Thayer has accepted the position of Appeals Board Secretary.

Trustee Leber:

Mr. Leber discussed HB 315.

Mr. Leber also announced that the truck had been oiled for $250.00. When the bed is on the new truck, it will also be sent to be oiled.

Trustee Miller:

Mr. Miller suggests ordering the plow and salt spreader now. Mr. Dunlap was waiting for the fabrication to be done. However, Mr. Dunlap will now order these items.

Mr. Miller will participate in an ethics course required for all elected officials.

FISCAL OFFICER

The Fiscal Officer contacted the Chairman of the Board of Trustees to purchase flowers for Phil David's funeral.

Dental rate premiums will increase by 13.5% in 2025.

COMMUNICATIONS:

There are no communications from Sherrif Sigsworth.

NEW BUSINESS

THIS AMBULANCE SERVICE AGREEMENT (“Agreement”) made and entered into at Oxford Township in Monroeville, Ohio as of the 1st of January 2025, by and between FISHER-TITUS AFFILIATED SERVICES, an Ohio nonprofit corporation, d/b/a North Central EMS (“North Central” and TOWNSHIP OF OXFORD, ERIE COUNTY, OHIO (“Township”).

WITNESSETH:

WHEREAS, pursuant to the authority granted in Resolution No. 12.4.2024 Township desires to contract with North Central for emergency medical services for the benefit of the residents of Township; and

WHEREAS, North Central is prepared to and desires to provide such services to Township as set forth herein;

WHEREAS, the parties entered into an Ambulance Service Agreement dated May, 1997, (the “Prior Agreement”) and desire to amend and restate the Prior Agreement as set forth herein;

NOW, THEREFORE, in consideration of the mutual promises contained herein, and intending to be legally bound hereby, the parties hereto agree as follows:

ARTICLE I

DUTIES OF NORTH CENTRAL

NORTH CENTRAL shall provide an emergency medical transportation system for the TOWNSHIP on a 24 hour basis, 7 days a week.

Provide a trained personnel to staff the EMS ambulance or other vehicles on a 24 hour basis, 7 days a week.

Provide a qualified Medical Director for the EMS system who shall be responsible for the development of medical protocols, education, and the training of the EMS personnel, medical supervision of the EMS personnel to ensure appropriate delivery of care to patients, and evaluation of the delivery of care.

Provide daily supervision of EMS personnel and the system operations to ensure professional standards are maintained.

Develop policies and procedures for operation of the EMS system and such other policies and procedures including definitions of lines of authority, accountability and communication.

Obtain and maintain Worker’s Compensation insurance for its employees.

Establish and maintain records of EMS system activities in an appropriate format.

Develop and implement routine medical audits and other quality assurance programs.

1.2 In performance of its services, NORTH CENTRAL shall exercise the same standard of care as is normal, customary, and reasonable for providers of these types of services to areas such as TOWNSHIP.

ARTICLE II

DUTIES OF TOWNSHIP

2.1 In consideration of the furnishing by NORTH CENTRAL of the EMS to the residents of the TOWNSHIP, the TOWNSHIP agrees to pay NORTH CENTRAL as and for consideration for the services to be provided, an annual availability fee in the sum of $17,389 per year with an annual adjustment of 3% for each succeeding year in January 2026, January 2027 and January 2028 as referenced in Payment Schedule A.

This Agreement shall be effective as of January 1, 2025 and shall remain in effect until December 31, 2028. This Agreement shall automatically renew for periods of one (1) year each commencing January 1, 2029 and January 1, 2030, respectively, unless by June 30 prior to each renewal date either Party shall give written notice to the other of its intent to not renew this Agreement. Each renewal shall be upon the same terms and conditions as set forth in this Agreement except as to annual payment for which negotiation may occur by June 30, 2029 and June 30, 2030 prior to the 2029 and 2030 renewals. If negotiations fail, the contract will terminate on December 31 of given year.

2.2 Settlement of sums due as provided for hereunder will be paid annually by TOWNSHIP after receipt of the bill from NORTH CENTRAL.

ARTICLE III

PERSONNEL

3.1 NORTH CENTRAL is responsible for the selection, compensation, and supervision of its employees, NORTH CENTRAL retains sole control over the hiring, discipline, and termination of its employees.

ARTICLE IV

4.1 NORTH CENTRAL and TOWNSHIP agree that except in extreme life-threatening situations or as required by law or regulation, the decision as to which facility a patient will be transported to is the decision of the patient or legal guardian.

ARTICLE V

TERMINATION

5.1 The Contract is scheduled to go from 1/1/2025 to 12/31/2028, unless no later than six (6) months prior to each renewal date, either Party advises in writing of its intent to cancel.

5.2 During the term of this Agreement, NORTH CENTRAL shall be the sole provider of emergency medical services and ambulance services to the TOWNSHIP.

5.3 Either party may terminate this Agreement without cause upon six (6) months written notice to the other to be delivered by certified mail, return receipt requested.

ARTICLE VI

MISCELLANEIOUS

6.1 All notices and demands required hereunder shall be in writing and shall be deemed to have been properly given if sent by certified US Mail, return receipt requested, addressed as follows:

6.2 This Agreement constitutes the entire agreement of the parties relating to the subject matter hereof, and shall supersede any prior oral or written agreements, representation, warranties, or understandings between the parties relating hereto.

6.3 This Agreement shall not be amended or modified except by agreement in writing executive by both parties.

6.4 This Agreement will ensure to the benefit of and constitute a binding obligation upon the parties hereto and their respective successors and assigns, neither party shall assign any rights nor delegate any duties hereunder without prior written consent of the other party.

6.5 NORTH CENTRAL and TOWNSHIP agree that the relationship between NORTH CENTRAL and TOWNSHIP is that of an independent contractor. Each entity will be responsible for the actions of their own employees.

6.6 This Agreement shall be governed by the laws of the State of Ohio, and if any provision is in conflict with any Federal Law or Law of the State of Ohio, then any such term(s) shall be modified to conform to such law without affecting the remaining provisions of this contract.

6.7 Each fully executed counterpart hereof shall be deemed to be an original hereof.

Motion

Mr. Leber moved to approve the North Central EMS contract resolution, and Mr. Miller seconded the motion. A verbal vote was taken, and the motion passed unanimously.

Motion

Mr. Miller motioned to pay all bills for Oxford Township with a second from Mr. Parker. The motion was carried out after a unanimous vote.

Motion

Mr. Leber made a motion to adjourn, which Mr. Miller seconded. The motion carried after a unanimous vote, and the meeting was adjourned at 7:36 p.m.
